1. DEFINITIONS

“QCMD Marketing” refers to QCMD Marketing Pty Ltd and QCMD Marketing Ltd, operating under the brand QCMD Marketing.

“Affiliate” refers to any individual or entity approved to participate in the QCMD Marketing Affiliate Programme.

“Programme” refers to the QCMD Marketing Affiliate Programme.

“Product” refers to the QCMD Digital AI Assistant and any related SaaS services offered by QCMD Marketing.

“Commission” refers to referral-based compensation earned by Affiliates in accordance with this Agreement.

“Platform” refers to the GoHighLevel white-label infrastructure and related systems operated by QCMD Marketing.

2. ACCEPTANCE OF TERMS

By registering as an Affiliate, you confirm that you have read, understood, and agreed to these Terms and Conditions, including all referenced policies.

Participation in the Programme constitutes full acceptance of these Terms.

If you do not agree, you may not participate in the Programme.

3. ELIGIBILITY

Affiliates must be at least 18 years of age.

Where local laws require a higher minimum age, the Affiliate is responsible for compliance with those laws.

Affiliates must provide accurate and truthful registration information.

4. AFFILIATE RELATIONSHIP

Affiliates operate as independent contractors.

Nothing in this Agreement creates an employment, partnership, agency, or joint venture relationship.

Affiliates have no authority to bind QCMD Marketing.

5. COMMISSION STRUCTURE

The Programme operates on a hybrid commission model. Commissions may differ from product to product. The percentages below are calculated on or Basic Plan for the Digital AI Receptionist, at a pricing point of R1595pm.

Upfront commission

Affiliates earn an upfront success commission equal to approximately 62.7 percent of the first successful monthly payment, payable only after the trial period has ended and payment has cleared.

Recurring commission

Affiliates earn approximately 37.3 percent recurring monthly commission while the referred client remains active and paying.

Exact monetary values may change and are not guaranteed.

6. CHURN, CLAWBACKS, AND REVERSALS

If a referred client cancels or churns within the first two months:

• Recurring commissions may be reversed

• Negative balances may be carried forward

• Adjustments may be deducted from future earnings

Commission reversals are final and non-negotiable.

7. PAYOUT REVIEW AND PROCESS

All commissions are subject to monthly manual review.

There are no automatic payouts.

QCMD Marketing reserves the right to:

• Approve or reject commissions

• Delay payouts during investigations

• Withhold payouts pending verification

Affiliates are responsible for providing accurate payout details.

Preferred payout method is PayPal. Bank transfer may be used where PayPal is unavailable, subject to verification.

8. TAX RESPONSIBILITY

Affiliates are solely responsible for declaring and paying their own taxes in their respective jurisdictions.

QCMD Marketing does not provide tax advice.

9. MARKETING RESTRICTIONS

Affiliates may not:

• Make income claims or earnings guarantees

• Offer unauthorised discounts or bonuses

• Misrepresent the Product or Programme

• Use fake or misleading testimonials

• Impersonate QCMD Marketing or its representatives

Affiliate disclosure is mandatory in all promotions.

Only approved branding and assets may be used.

10. PAID ADVERTISING

Paid advertising is prohibited by default.

Affiliates may request an exception through the Paid Ads Request Form.

No paid ads may run without written approval.

Approved paid advertising may be revoked at any time.

Brand keyword bidding and direct linking to QCMD-owned domains are strictly prohibited.

11. REPUTATION AND BRAND PROTECTION

Any action that brings QCMD Marketing, its partners, its directors, or its platforms into disrepute may result in immediate termination.

This includes unethical behaviour, false claims, regulatory breaches, or public misconduct.

12. DATA ACCESS AND PRIVACY

Affiliates may have limited visibility of lead data, including names and email addresses, through the affiliate dashboard.

Affiliates may not store, export, sell, or misuse this data.

All data use must comply with applicable privacy laws, including POPIA and GDPR.

13. TRACKING AND MONITORING

QCMD Marketing uses tracking systems, including click tracking and engagement monitoring, to operate the Programme.

By participating, Affiliates acknowledge and consent to such tracking.

14. ENFORCEMENT AND TERMINATION

QCMD Marketing may, at its sole discretion:

• Issue warnings

• Suspend accounts

• Reverse commissions

• Terminate participation without payout

In cases of fraud or serious breach, termination may occur without notice or compensation.

All enforcement decisions are final.

15. DISPUTES

Payout disputes must be submitted in writing.

Reviewed decisions are final.

Affiliates waive the right to further claims once a review is completed.

16. GOVERNING LAW AND JURISDICTION

This Agreement is governed by the laws of South Africa.

South African courts shall have jurisdiction.

International Affiliates agree to binding arbitration where applicable.

17. MODIFICATIONS

QCMD Marketing may update these Terms at any time.

Continued participation constitutes acceptance of updated Terms.

18. ENTIRE AGREEMENT

These Terms, together with the Code of Conduct, Payout Policy, Privacy Notice, and Paid Ads Policy, constitute the entire agreement.

No verbal agreements apply.
